The Institute on Governance defines governance as the institutions, processes, and traditions, which determine how power is exercised, how decisions are taken, and how citizens have their say. According to the Institute, good governance involves integrity, equality, participation, transparency, efficiency, and responsibility.
During the past few years, “governance” has been used by both private businesses and non-profit organizations of all kinds. We have coupled this term with “strategic” because we believe that a Board plays a vital strategic role in the governance of an organization; therefore, Strategic Governance ® emphasizes the primacy of the Board in the smooth operation of an organization in cooperation with the Executive Director. The success of any organization rests on the combination of a strong Board that performs its roles well and an Executive Director who accomplishes his or her mandates and adequately supports the Board in its governance.
